AI has changed the rules on personal exposure for directors and senior officers.

First, agentic AI systems make decisions at a scale and speed that cannot be personally supervised; the board is therefore supervising the governance of the system, not the individual decisions.

Second, the failure modes of AI systems are opaque; a director who cannot describe, in plain language, how the system decides cannot credibly claim to have discharged the duty to be informed.
